2.68.010 - Establishment and authority for functions.

The board of supervisors shall establish such advisory boards and commissions as are required by law. The board of supervisors may also establish such additional advisory boards or commissions as the board considers will be beneficial to the citizens of the county and of assistance to the board of supervisors. To the extent not otherwise directed by law, the board of supervisors shall prescribe the functions, composition and responsibilities of each such advisory board or commission so established.

2.68.020 - Terms of appointments.

A. To the extent not otherwise directed by law, the term of appointment of any advisory board member or commission member shall be as prescribed by the board of supervisors. All such appointments shall be at the pleasure of the board of supervisors and may be terminated at any time by action of the board.

B. In the absence of a specified term of appointment, each advisory board or commission shall extend for one year from the date of appointment; provided, however, an appointment to fill a vacancy shall extend for the balance of the term remaining to the position for which the vacancy exists.

2.70.010 - Intent.

Partnership Health Plan of California Commission ("Commission") is a multi-county commission that has created a Medi-Cal managed health care plan for Medi-Cal recipients. The purpose of this chapter is to update the terms of the Napa County's participation in the Commission. This chapter allows the implementation of a county organized health system in Napa County, as authorized by Welfare and Institutions Code Section 14087.54.

The Commission has a proven record of improving health care access to its members, who are Medi-Cal recipients, and improving Medi-Cal reimbursement rates to health care providers. The Commission links each member with a primary care provider and has been successful in reducing inappropriate use of emergency rooms, providing appropriate levels of inpatient care for its members, developing innovative case management programs and arranging for the provision of an enhanced level of local health care services.

The Commission negotiated a contract with the California Department of Health Care Services, as specified in Welfare and Institutions Code Section 14087.5, to arrange for the provision of health care services provided under Welfare and Institutions Code Chapter 7, Part 3, Division 9. The Commission is authorized to negotiate a contract with the California Department of Health Care Services to expand the Commission from its existing 14 counties into 10 additional member counties. This expansion is expected to occur on or about January 1, 2024.

2.70.020 - Authorization to join commission.

Pursuant to Welfare and Institutions Code Section 14087.54 the Napa County Board of Supervisors hereby authorizes Napa County to continue participation in the Commission under the terms set forth in this Ordinance No. 1486.

2.70.030 - Membership of commission.

A. The Commission shall be comprised of Commissioners appointed by and who shall serve at the pleasure of the Board of Supervisors of each member county. Unless and until the Commission, by formal action, establishes a different membership formula or membership system, Commission representation for each member county shall be based on the number of Medi-Cal beneficiaries enrolled in the Commission's health plan in each county according to the following formula:

  1. 0-45,000 Medi-Cal beneficiaries within the county equals one Commission seat.

  2. 45,0001-60,0000 Medi-Cal beneficiaries within the county equals two Commission seats.

  3. 60,001+ Medi-Cal beneficiaries within the county equals three Commission seats.

The first Commission member shall be the Director of the Napa County Health and Human Services Agency. In the event Napa County becomes entitled to appoint more than one member, the additional appointed persons shall be either a chief executive officer or administrator of a local hospital, a physician who is a member of the Napa County medical community, the chief executive officer of a federally qualified health center, a local behavioral health provider, regional center provider, local education authority, local dental provider, or Indian Health Services facility provider, with special efforts to select candidates, as opportunity allows, who reflect the diversity of the community (including but not limited to race, ethnicity, language and disability status).

A "local hospital," as used above, shall mean either the Queen of the Valley Medical Center or the St. Helena Hospital.

A "federally qualified health center," as used above, shall mean an entity so certified by the Centers for Medicare and Medicaid Services, and as defined by 42 CFR Section 405.2401.

2.70.040 - Terms of office.

In the event Napa County becomes entitled to appoint more than one member, the additional appointed persons shall have a term of four years. Nothing herein shall prohibit a person from serving more than one term. Each commission member shall remain in office at the conclusion of that member's term until a successor member has been selected and installed into office. An office shall become vacant if a board member discontinues to function in the area from which appointed or fails to attend three Commission meetings in a row.

2.70.050 - Powers and duties of commission.

Pursuant to the provisions of Welfare and Institutions Code Section 14807.54 as it exists on the date of adoption of this ordinance, the Commission shall:

A. Have the power to negotiate the exclusive contract with the California State Department of Health Care Services as specified in Welfare and Institutions Code Section 14087, and to arrange for the provision of health care services provided under Chapter 7, Part 3, Division 9 of the Welfare and Institutions Code;

B. Be considered an entity separate from Napa County;

C. File the statement required by Government Code Section 53051;

D. Have the power to acquire, possess, and dispose of real or personal property, including creating and/or acquiring affiliated or supporting entities, as may be necessary for the performance of its functions, to employ personnel including health care providers in accordance with California Law; to contract for services required to meet its obligations, and to sue or be sued; and

E. Have all the rights, powers, duties, privileges, and immunities conferred by Article 2.8 of Chapter 7, Part 3, Division 9 of the Welfare and Institutions Code, in addition to those previously specified in this section.

2.70.055 - Obligations of commission.

Pursuant to the provisions of Welfare and Institutions Code subsection (d) of Section 14087.54 as it exists on the date of adoption of the codified in this chapter, any obligations solely of the Commission and shall not be the obligations of Napa County. The Commission shall do business as the Partnership Health Plan of California.

2.70.057 - Termination of membership.

The Commission shall continue to represent Napa County until such time as the Napa County board of supervisors terminates the representation. To terminate the representation, the Board of Supervisors or its designee shall provide ninety-day notice to other participating counties and the state Department of Health Care Services, as specified in Welfare and Institutions Code Section 14087.54(g).

2.70.060 - Committees.

The Commission may establish advisory committees from time to time for any purpose that will be beneficial in accomplishing the work of the commission.
