2.44.010 - Created.¶
There is created and established an advisory commission in the County of Monterey to be known as the Natividad Medical Center Advisory Commission.

2.44.020 - Members—Number and appointment.¶
The Natividad Medical Center Advisory Commission shall be composed of seven members, all of whom shall be residents of the County of Monterey and who shall be selected and appointed by a majority vote of the Board of Supervisors.

2.44.030 - Terms of office.¶
The term of office of members of this Commission shall be four years. Notwithstanding any other provision of this Chapter, the terms of all members shall expire on July 1, 1982. Each member so desiring shall hold over in office. At the first regular meeting of the Commission after June 1, 1982, the members shall stagger their terms by lot: two members so staggered shall have four year terms; two shall have three year terms; two shall have two year terms; and one member shall have a one year term. At the end of those terms so staggered, appointments shall be for four years. Any vacancy on the Commission other than at the expiration of a term shall be for the unexpired term of the predecessor member.

2.44.040 - Members—Replacement.¶
Upon resignation, death or removal of any member of the Commission, a successor shall be appointed to serve the unexpired term in the same manner as the original appointment.

2.44.050 - Members—Ex-officio.¶
A. In addition to the members mentioned in Sections 2.44.020 through 2.44.040, the Commission shall have as ex-officio members the elected chairman of the Natividad Medical Center medical staff, the administrative officer of the County of Monterey and the hospital administrator.
B. Ex-officio members shall not be entitled to vote, nor shall their presence at a meeting be counted to constitute a quorum, but they shall have the right to attend all meetings of the Commission, receive notice of special meetings and enter into the discussion at all meetings.

2.44.060 - Members—Vacancy due to absence.¶
A vacancy shall occur on the Commission when a member misses three consecutive regular meetings of the Commission.

2.44.070 - Chair and Secretary.¶
The Commission shall have a chair and a Secretary.
A. The Chair shall be elected by a majority vote of all the members of the Commission and shall hold office for a term of one year. The Chair shall preside at all meetings of the Commission and shall be an ex-officio member of all committees. In the absence of the Chair, the members present at any meeting may, by a majority vote, select a Chair pro tem to preside at that meeting.
B. The Secretary shall be elected by a majority vote and shall hold office for a term of one year, shall attend all meetings and keep true minutes thereof, and shall conduct the correspondence of the Commission and shall perform such other duties as the Commission may assign.

2.44.080 - Meetings.¶
A. The Commission shall hold regular meetings at least quarterly at the Natividad Medical Center upon such days and at such hours as may be determined annually by a majority vote of the members of the Commission as then constituted, but if any such day as so determined, is a holiday, then the regular meeting for that month shall be held on such other day as the Commission may fix.
B. A special meeting may be called at any time by the Chair, the Chairperson of the Board of Supervisors, or by three members of the Commission by delivering personally or by mail written notice to each member of the Commission and to each newspaper of general circulation, radio or television station requesting notice in writing. Such notice must be delivered personally or by mail at least five days before the time of such meeting as specified in the notice. The call and notice shall specify the time and place of the meeting and the business to be transacted. No other business shall be considered at such meetings. Such written notice may be dispensed with as to any member who at or prior to the meeting files with the secretary a written waiver of notice. Such waiver may be given by telegram. Such notice may be dispensed with as to any member who is actually present at the meeting at the time it convenes.
C. At any meeting, four shall constitute a quorum.

2.44.090 - Compensation.¶
The members of the Commission shall serve without compensation. Members shall be reimbursed at the current County rates for mileage and all reasonable expenses incurred on commission business, and such reimbursement shall be a proper charge against the County.

2.44.100 - Authority and duties.¶
The Commission shall have the following authority and duties:
A. To investigate and study, either on its own initiative, or at the direction of the Board of Supervisors, or in response to communication from administration or staff of the medical center or from the public, matters of concern relating to the facilities, personnel, management or operation of the medical center;
B. To report to the Board of supervisor on matters investigated or studied pursuant to Subdivision A of this Section, and to make recommendations to the Board of Supervisors on such matters;
C. To serve as liaison among the Board of Supervisors, the public and the administration and staff of the medical center; and specifically to provide an additional means of communication between the medical staff of the medical center, the hospital administration, and the Board of Supervisors as the governing body of the medical center.
D. Generally, to carry out such other duties and responsibilities with respect to the medical center as may be directed from time to time by the Board of Supervisors.
