include an unperformed promise to furnish support to the covered financial company; and (ii) subparagraph (B)— (I) the covered financial company is presumed to have been insolvent on and during the 90-day period immediately preceding the date of appoint- ment of the Corporation as receiver; and (II) the term ‘‘insolvent’’ has the same meaning as in section 101(32) of the Bankruptcy Code. (12) SETOFF.— (A) GENERALLY.—Except as otherwise provided in this title, any right of a creditor to offset a mutual debt owed by the creditor to any covered financial company that arose before the Corporation was appointed as receiver for the covered financial company against a claim of such creditor may be asserted if enforceable under applicable noninsol- vency law, except to the extent that— (i) the claim of the creditor against the covered financial company is disallowed; (ii) the claim was transferred, by an entity other than the covered financial company, to the creditor— (I) after the Corporation was appointed as receiver of the covered financial company; or (II)(aa) after the 90-day period preceding the date on which the Corporation was appointed as receiver for the covered financial company; and (bb) while the covered financial company was insolvent (except for a setoff in connection with a qualified financial contract); or (iii) the debt owed to the covered financial company was incurred by the covered financial company— (I) after the 90-day period preceding the date on which the Corporation was appointed as receiver for the covered financial company; (II) while the covered financial company was insolvent; and (III) for the purpose of obtaining a right of setoff against the covered financial company (except for a setoff in connection with a qualified financial contract).
