12-2-700 - Office Created; Appointment; Term of Office.¶
a. The office of General Manager of the District is hereby created and established. The General Manager shall be hired on the basis of written contract only, which contract shall establish the term of office, salary and benefits to be provided. The General Manager shall be a qualified administrator, and subject to contract provisions, hold office at and during the pleasure of the Board of Directors. (Water Code Section 30540)
b. The Windsor Town Manager shall serve as General Manager of the District.
12-2-705 - Residency; Eligibility of Board-member for Office.¶
Residence in the District at the time of appointment shall not be required as a condition of appointment.
No person elected or appointed to membership on the Board of Directors shall, subsequent to such election or appointment, be eligible for appointment as General Manager of the District until one (1) year has elapsed after he has ceased to be a member of the Board of Directors.
12-2-710 - Bond.¶
The General Manager shall furnish a corporate surety bond, to be approved by the Board in such sum as may be determined by the Board, conditioned upon the faithful performance of the duties imposed upon the General Manager as herein prescribed. Any premium for such bond shall be a proper charge against the District. (Water Code Section 30545)
12-2-715 - Temporary Manager.¶
The General Manager shall appoint, subject to approval of the Board, one of the other officers or department heads of the District to serve as Manager pro tempore during any temporary absence or disability of the General Manager. In case of the absence or disability of the General Manager and his failure to so appoint a Manager pro tempore, the Assistant General Manager shall so serve. In the case where the Assistant General Manager is absent, the Board may designate some qualified employee to perform the duties of the General Manager during the period of absence or disability of such General Manager, subject however, to the person furnishing a corporate surety bond conditioned upon faithful performance of the duties required to be performed as set forth in Water Code Section 30545.
12-2-720 - Compensation.¶
The General Manager shall receive such compensation and expense allowance as the Board shall, from time to time, determine and fix by contract, and such compensation and expenses shall be a proper charge against such funds of the District as the Board shall designate.
The General Manager shall be reimbursed for all sums necessarily incurred or paid by him/her in the performance of his/her duties, or incurred in traveling on business pertaining to the District under direction of the Board; reimbursement shall only be made, however, upon a verified itemized claim, setting forth the sums expended.
12-2-725 - Appointment—Removal—Generally.¶
The General Manager shall be appointed by written contract for a definite term, which contract shall not be modifiable or amendable except by writing and any attempted amendment shall be null and void. Such contract shall be an integrated contract and shall contain all provisions relating to length of term, salary and benefits and manner of termination. The General Manager may only be removed in accordance with the terms of said contract. The contract shall provide for removal for cause.
12-2-730 - Same—Limitations.¶
Notwithstanding other sections of this chapter, the General Manager shall not be removed from office during a period of sixty (60) days next preceding any General District Election held in the District at which election a member of the Board is elected, nor shall the District Manager be removed from office during or within a period of ninety (90) days next succeeding any General Election held in the District at which election a member of the Board of Directors is elected. The purpose of this provision is to allow newly elected members of the Board to observe the actions and abilities of the General Manager in the performance of the powers and duties of this office. After the expiration of this one hundred fifty (150) day period, the provisions of the preceding section as to the removal of the General Manager shall apply and be effective.
12-2-735 - Powers and Duties.¶
The General Manager shall be the Administrative Head of the Government of the District under the direction and control of the Board of Directors except as otherwise provided in this article. He shall be responsible for the efficient administration of all affairs of the District which are under his control. In addition to his/her general powers as Administrative Head, and not as a limitation thereon, it shall be his/her duty, and he shall have the powers set forth in the following lettered paragraphs:
a. Law Enforcement. It shall be the duty of the General Manager to see that all laws and ordinances of the District are duly enforced, and that all franchises, contracts, permits and privileges granted by the District are faithfully observed.
b. Authority Over Employees. It shall be the duty of the General Manager, and he shall have the authority to control, order and give directions to all heads of departments and to subordinates, officers and employees of the District under his jurisdiction through their department heads.
c. Power of Appointment. It shall be the duty of the General Manager to, and he/she shall appoint, remove, promote and demote any and all officers and employees of the District, except the Secretary, District Counsel, and Auditor, subject to personnel rules and regulations as adopted by the Board.
d. Reorganization of Offices. It shall be the duty and responsibility of the General Manager to recommend to the Board such reorganization of offices, positions, departments or units under his/her direction as may be indicated in the interest of efficient, effective and economical conduct of the District's business.
e. Ordinances. It shall be the duty of the General Manager, and he/she shall recommend to the Board for adoption, such measures ordinances as he/she deems necessary or expedient.
f. Attendance at Board Meetings. It shall be the duty of the General Manager to attend all meetings of the Board of Directors unless excused therefrom, upon his/her own request, by the President or the Board, or unless excused therefrom when his/her own removal is under consideration.
g. Financial Reports. It shall be the duty of the General Manager to keep the Board at all times fully advised as to the financial conditions and needs of the District.
h. Budget. It shall be the duty of the General Manager to cause to be prepared and submitted to him/her by each department, division, or service of the District government, itemized annual estimates of expenditures required by any of them for capital outlay, salaries, wages and miscellaneous operating costs; to tabulate the same into a preliminary consolidated District budget and submit the same to the Board before the fifteenth (15th) day of May of each year, with his/her recommendation as to such changes which he/she deems advisable.
i. Purchasing Agent. It shall be the duty of the General Manager, and he/she shall be responsible for the purchase of all supplies for all departments or divisions of the District. No 12-09 expenditures shall be submitted or recommended to the Board except on report and approval of the General Manager or his/her designee.
j. Investigations. It shall be the duty of the General Manager to make investigations into the affairs of the District, and any department or division thereof, and any contract, or the proper performance of any obligations of the District. He shall investigate all complaints in relation to matters concerning the administration of the District government.
k. Public Buildings and Equipment. It shall be the duty of the General Manager, and he/she shall exercise general supervision over, all public buildings, public parks, and all other public property which are under the control and jurisdiction of the Board of Directors, and he/she shall compile and keep up to date a complete inventory of all property, real and personal, owned by the District, and to recommend to the Board purchase of new machinery, equipment and supplies, whenever in his/her judgement the same can be obtained at the best advantage, taking into consideration trade-in-value of machinery and equipment in use.
l. Hours of Employment. It shall be the duty of the General Manager to devote his/her entire working time to the duties of his/her office in the interests of the District.
m. Additional Duties. It shall be the duty of the General Manager to perform such other duties and exercise such other powers as may be delegated to him/her from time to time by ordinance or resolution or other action of the Board.
12-2-740 - Boardmember—Manager Relations.¶
The Board of Directors and its members shall deal with the Administrative Services of the District only through the General Manager, except for purpose of inquiry, and neither the Board nor any member thereof shall give orders to any subordinates of the General Manager. The General Manager shall take his/her orders and instructions from the Board only when sitting in a duly held meeting of the Board, and no individual Boardmember shall give any orders or instructions to the General Manager. No individual Boardmember shall in any manner attempt to influence the General Manager in making of any appointment or in the purchase of supplies.
12-2-745 - Cooperation of Other Officials.¶
It shall be the duty of all subordinate officers, and the Secretary, Auditor and District Counsel, to assist the General Manager in administering the affairs of the District efficiently, economically and harmoniously, so far as to be consistent with their duties as prescribed by law and ordinances of the District.
