12-2-300 - Time and Place of Meetings.¶
The Board of Directors shall establish the time and place of regular meetings by resolution of the Board. Such time and place may be changed by resolution for any good cause, at any regular meeting in advance of such change. Special meetings shall be called by the President or a majority of the Board, and shall be held in conformity with the Government Code.
12-2-305 - Meetings to Be Open to the Public.¶
All meetings of the Board where a quorum is present shall be open to the public in except for closed sessions held in conformance with the Government Code.
12-2-310 - Manner of Conducting Meetings Generally.¶
All meetings of the Board shall be conducted in an orderly manner in conformance with "Robert's Rules of Order," and so designed as to expedite the business of the District as set forth in this article.
12-2-315 - Addressing the Board—Procedure Generally.¶
Any person desiring to address the Board on a matter on the agenda shall address the Board at the time the matter is considered by the Board upon first securing the recognition of the Presiding Officer. Any person desiring to address the Board on a matter not on the agenda, or when the matter is not being considered by the Board, shall do so during the time set aside for such appearances on the agenda.
12-2-320 - Same—Manner of Addressing; Time Limit.¶
Each person addressing the Board shall stand up, give his name and address in an audible tone of voice for the record and unless further time is granted by the Board, shall limit his address to three (3) minutes. All remarks shall be addressed to the Board as a body and not any member thereof. No person, other than the Board and the person having the floor, shall be permitted to enter into any discussion, either directly or through a member of the Board, without the permission of the Presiding Officer. No question shall be asked a Board member or district staff except through the Presiding Officer.
12-2-325 - Impertinent, Boisterous, etc., Persons to Be Barred; Exception.¶
Any person making personal, impertinent or slanderous remarks or who shall become boisterous while addressing the Board shall be barred from further audience before the Board for the remainder of the meeting, unless permission to continue is granted by a majority vote of the Board.
12-2-330 - Salaries of Members of the Board of Directors.¶
Under the authority of Water Code Section 30507, each member of the Board shall receive a monthly salary of eighty-five ($85.00) dollars per meeting, not to exceed six hundred ($600.00) dollars in any one (1) month. (Water Code Section 30507)
12-2-335 - Duties of Auditor.¶
The Auditor shall have the duty of installation of an auditing system, and shall install and maintain an accounting system that completely and at all times shows the financial condition of the District.
The Auditor shall also deposit and invest the money of the District as set out in Government Code ss53630 et seq.
12-2-340 - Warrants.¶
The Auditor shall draw warrants to pay demands made against the District when the demands have been approved or authorized by the Board, or at least three (3) members of the Board, and by the General Manager or the Board's designee.
12-2-345 - Preparation of Agenda; Agenda to Be Controlling to Whom Copies Furnished.¶
Except for emergency matters, and matters requiring prompt action arising after the posting of the agenda, and placed on the agenda pursuant to Gov. Code Sec._____, all reports, communications, ordinances, resolutions, documents or other matters to be submitted to the Board of Directors, shall be delivered to the Secretary as far in advance of each Board meeting as time will permit so that the Board members, General Manager and District Counsel may be furnished a copy of the agenda and matters to be acted upon by the afternoon of the Friday preceding the regular Board meeting. Except for qualified emergency items, no matter shall be considered by the Board other than those matters on the agenda.
12-2-350 - Order of Business—Regular Procedure.¶
The order of business shall be set by resolution of the Board of Directors, and may be changed from time to time by further resolution.
12-2-355 - Posting of Agenda; Exceptions.¶
All agendas for regular meetings shall be posted at least seventy-two (72) hours in advance at two (2) locations determined by resolution of the Board. No action may be taken on any matter not described on the agenda. Exceptions: Upon a determination by the majority of the Board that an emergency exists as defined in Gov. Code 54956.5; or upon determination by four (4) of the Board members that the need to take action arose subsequent to the agenda being posted as above; or the matter was continued from a prior meeting held less than five (5) days previously.
12-2-360 - Business to Be Promptly Attended to, Reference to Committee, etc.¶
All business brought before the Board of Directors shall be promptly attended to, provided that upon the request of the majority of the Board, the same shall be referred to the proper official or committee for investigation before any action shall be taken thereon by the Board as a whole.
12-2-365 - Same—Suspension of Regular Order.¶
The regular order of business of the Board may be suspended by a majority vote of the members present.
12-2-370 - Roll Call.¶
Before proceeding with the business of the Board, the Secretary or his/her Deputy shall call the roll of the members and the names of those present shall be entered in the minutes.
12-2-375 - Reading of the Minutes.¶
Unless a reading of the minutes of a Board of Directors meeting is requested by a member of the Board, such minutes may be approved without reading provided the Secretary has previously furnished each member of the Board with a copy thereof.
12-2-380 - Rules of Debate—Generally.¶
Debate upon all matters pending before the Board of Directors shall be under the direct supervision of the President and conducted in such a manner as to expedite the business of the Board and subject to the rules provided in this article.
12-2-385 - Same—Recognition of Speaker Manner of Speaking.¶
Every Board member desiring to speak shall address the chair, and upon recognition by the presiding officer, shall confine himself/herself to the question under debate, avoiding all personalities and indecorous languages.
12-2-390 - Same—Interrupting Speaker.¶
A Board member, once recognized, shall not be interrupted when speaking unless it be to call him/her to order, or as otherwise provided in this article. If a member while speaking, be called to order, he/she shall cease speaking until the question or order to be determined, and, if in order, he shall be permitted to proceed.
12-2-391 - Same—Closing of Debate.¶
The Board member moving the adoption of an ordinance or resolution shall have the privilege of closing the debate.
12-2-392 - Motion to Reconsider.¶
A motion to reconsider any action taken by the Board may be made only during the same session, or at a recessed or adjourned session thereof. Such motion shall be made by one of the prevailing side but may be seconded by any member, and may be made at any time and have precedence over all other motions or while a member has the floor. It shall be debatable. Nothing in this section shall be construed to prevent any member of the Board from making or remaking the same or any other motion at a subsequent meeting of the Board.
12-2-393 - Silence on Voting to Be Recorded as Affirmative Vote/Minimum Vote Required.¶
Unless a member of the Board of Directors audibly votes in the negative, his silence shall be recorded as an affirmative vote. Three (3) affirmative votes shall be required to pass any motion, resolution or ordinance except where State law requires a majority of four (4) or a unanimous vote.
12-2-394 - Procedure to Be Governed Generally by Robert's Rules of Order; Brown Act Rules.¶
Except as otherwise provided in this article, all questions of parliamentary procedure in the Board of Directors shall be resolved according to Robert's Rules of Order. The Board shall by resolution, establish rules to insure the provisions of Gov. Code Sections 54950 through 54962 are carried out.
12-2-395 - Entering of Members' Dissent on Minutes.¶
Any member of the Board shall have the right to have his/her reasons for his/her dissent from, or protest against, any action of the Board, entered on the minutes.
12-2-396 - Entering Remarks of Board members in Minutes.¶
A Board member may request through the Presiding Officer, the privilege of having an abstract of his/her statement on any subject under consideration by the Board entered in the minutes.
12-2-397 - Entering Synopsis of Debate in Minutes.¶
The Secretary may be directed by the Presiding Officer, with consent of the Board, to enter in the minutes a synopsis to the discussion on any question coming regularly before the Board.
