12-2-200 - Powers and Duties Generally.¶
a. President. The President shall be the official head of the District for all ceremonial purposes, he shall sign all contracts on behalf of the District, and he shall perform all duties imposed upon him by the laws of the State or by ordinance of the Board. The President shall be elected by majority vote of the Board at the first meeting in December, and shall serve in such capacity for a period of one (1) year. There shall be no limit on the number of times a member shall serve as President.
b. Vice President. The Vice President shall be elected from among the Board of Directors, and shall serve as President pro tem in the absence of the President, or at the direction of the President. He shall be empowered to sign all documents in the absence of the President.
c. Secretary. The Secretary shall be appointed annually by the Board. The Secretary shall countersign all contracts on behalf of the District; and perform other duties imposed by the Board. The Secretary shall attest to the signatures of Board members on official documents, and shall maintain records of ordinances, resolutions and minutes of the Board. The Secretary may be a member of the Board, or an officer of the District. The duties of Secretary may be combined with other duties.
d. Auditor. The Auditor shall be appointed by the Board, and shall serve at the pleasure of the Board. The Auditor shall install and maintain a system of auditing and accounting that shall completely and at all times show the financial condition of the District.
12-2-205 - Duties During Board Meeting; Voting Power.¶
The President shall preserve strict order and decorum at all meetings of the Board. He shall state every question coming before the Board, announce the decision of the Board on all subjects and decide all questions of order; subject, however, to an appeal to the Board, in which event a majority vote of the Board members present shall govern and conclusively determine such question of order. Voting on all resolutions and ordinances shall be by roll call vote called by the Secretary, and the President shall be entitled to vote on all questions, his name being called last.
