8.70.010 - Establishment.

There hereby is established a Modoc Medical Center Hospital and Safety Commission ("commission"). The commission's primary responsibility will be to operate and maintain Modoc Medical Center in a sound fiscal condition and to provide healthcare necessary to fulfill the medical center's mission.

8.70.020 - Purpose.

The commission will be primarily responsible for the operation of the medical center and, subject to the powers of the board of supervisors, shall have overall responsibility for the conduct of business of Modoc Medical Center.

8.70.030 - Board of directors.

The commission will be directed by a seven-member board of directors.

8.70.040 - Term of board.

The board of directors will consist of seven voting members appointed by the board of supervisors. The term of office will be three years with the initial directors establishing terms by lot.

8.70.050 - Expenses.

The board of directors shall be compensated for actual and necessary expenses incurred in the performance of official duties. Reimbursement will be at a rate and in a manner prescribed for county employees. The directors shall receive no other compensation.

8.70.060 - Duties.

The board of directors shall develop an annual budget to be submitted to and approved by the board of supervisors. The board of directors shall have the authority to, upon recommendation of the medical center's chief executive officer, to negotiate, enter into and execute contracts for the purchase of goods, supplies and services for all items approved in the annual budget. The board of supervisors must approve unbudgeted expenditures. The board of directors shall make recommendations to the board of supervisors regarding the appointment and retention of the chief executive officer for the medical center. The board of directors shall be responsible for appointing and reappointing the medical staff.

8.70.070 - Meetings.

The board of director's meetings shall be conducted in a public place and in compliance with the provisions of the California Ralph M. Brown Act (commencing with Government Code Section 54950).

8.70.080 - Bylaws.

The board of directors will operate in compliance with the bylaws to be approved by resolution of the board of supervisors.
