2.06.010 - Purposes of chapter.

Except as otherwise provided by the ordinance establishing a board or commission, boards and commissions created by the town council shall be established, the members thereof shall be appointed, and such boards and commissions shall be organized and governed as to procedure in accordance with the provisions of this chapter.

2.06.020 - Qualifications.

Membership on such bodies shall be representative of the entire community insofar as possible, and members on such boards and commissions shall be willing to serve as a civic responsibility. No member of any board or commission shall hold any paid office or employment in the town government. In order to be eligible for appointment to any board or commission, a person shall be a qualified registered elector of the town, except as provided herein: one seat on the flood control board may be filled by a person who is not an elector of the town but who is a representative of local businesses and one seat on the park and recreation commission may be filled by a resident of the town under the age of eighteen to be a voting member of the parks and recreation commission. An unlimited number of seats of any youth advisory board may be filled by residents of the town under the age of eighteen.

2.06.030 - Committees.

The council may appoint from time to time such temporary or standing committees as are deemed advisable to render counsel and advice to the council and the town manager on any designated matters or subjects within the jurisdiction of the council and the town manager. Membership on such committees shall not be limited by the requirements of Section 2.06.020 of this chapter.

2.06.040 - Appropriations.

The council shall include in the annual budget such appropriations of funds as in its opinion shall be sufficient for the efficient and proper functioning of such boards and commissions.

2.06.050 - Appointments—Terms.

The council shall appoint all members of all boards and commissions, who shall serve at the pleasure of the council. Members shall be subject to removal by a majority vote. The members thereof shall serve for a term of two years, except for youth members as provided in Section 2.06.020, who shall serve a term of one year, and until their respective successors are appointed and qualified. All members shall be eligible for reappointment.

The terms of each board and commission member shall be on a staggered basis, with the majority of terms expiring on even-numbered years and the minority of terms expiring on odd-numbered years.

2.06.060 - Vacancies.

Any vacancies in any board or commission, from whatever cause arising, shall be filled by appointment by the council. When a vacancy occurs, any appointment to fill such vacancy shall be for the unexpired term.

If a member of a board or commission absents him or herself from three consecutive regular meetings of such board or commission, unless by permission of such board or commission expressed in its official minutes, or ceases to be a qualified elector of the town, his/her office shall become vacant and shall be so declared by the council.

2.06.080 - Officers.

At the first regular meeting in July of every year, each of such boards and commissions shall organize by electing a chairman and vice-chairman from its membership to serve at the pleasure of such board or commission. In the absence or disability of the chairman and vice-chairman, each such board or commission may designate a chairman pro tempore.

The town manager shall designate a secretary who shall provide for the recording of minutes for each such board or commission, and keep a record of its proceedings and transactions. The town manager shall also provide staff assistance, and designate a town employee to serve as principal staff advisor to each board and commission.

2.06.090 - Meetings.

Each such board or commission shall annually set a schedule of meetings at a regular specified date and time and may hold such special meetings as such board or commission may require. Insofar as possible all meetings of such boards and commissions shall be held either in the council chambers or in the conference room of the town hall. All meetings shall be open to the public.

2.06.100 - Rules—Regulations—Records.

Each board or commission may prescribe its own rules and regulations, for the transaction of its business, which rules and regulations, after approval by the town council shall be kept on file in the office of the town clerk where they shall be available for public inspection. Each board or commission shall keep a written record of its resolutions, transactions, findings, and determinations, copies of which shall be kept on file in the office of the town clerk.

2.06.110 - Quorum.

A majority of the members of every such board or commission shall constitute a quorum for the transaction of business. A majority vote of the members of the board or commission voting on the matter under consideration shall be required for the approval or adoption of such matter.

2.06.120 - Liaison with council.

With the approval of the council, the mayor may designate a member of the council to meet with a board or commission, but such councilman shall not be a member of any such board or commission.

2.06.130 - Compensation.

Unless otherwise authorized by an appropriate act of the town council, the members of boards and commissions shall serve without compensation for their services as such but may receive reimbursement for necessary traveling and other expenses incurred on official duty when such expenditures have been authorized by the council.

2.06.140 - Expert consultants.

Every such board and commission may recommend to the town manager the employment of expert consultants to perform work or give advice connected with such board or commission when such board or commission finds such work or advice necessary.
