§ 2.40.010. Establishment.¶
An economic development commission is established for the town, and such commission shall be known as the town economic development commission or "EDC" in an abbreviated form.

§ 2.40.020. Purpose.¶
The EDC is to conduct studies, surveys, and research and to make recommendations to the town council on matters relating to the creation and maintenance of a sound town economic base. In addition, EDC shall provide opportunities for citizens and businesses to participate in its deliberations and recommendations.

§ 2.40.030. Duties.¶
A. The EDC shall meet monthly at a regular time to be established by the EDC and as often as necessary or desirable.
B. The EDC shall elect a chairperson and vice chairperson from among its members, adopt rules for the transaction of business, and shall keep a record of its findings and recommendations. The Town Hall shall be the repository for its records.
C. The EDC shall recommend to the town council projects for study and research.
D. The EDC shall act on requests of the town council according to priorities and schedules established by the town council.
E. The EDC shall report directly to the town council all findings and recommendations made by it. Such reports should include majority and minority reports when appropriate.

§ 2.40.040. Membership—Voting.¶
A. There shall be seven voting members of the EDC. Each town councilmember shall appoint a member to the EDC. Appointments will be made at the regular council meeting in January following election to the council to become effective on March 1st of that year. All council appointments shall have an affirmative confirmation vote by a majority of all members of the town council prior to becoming effective.
B. In the event of vacancy on the commission due to election of a member to the council, that vacancy shall be filled by the appointing councilmember within thirty days of the vacancy. The new appointment is subject to confirmation by a majority vote of all the councilmembers. Any other vacancy on the commission of a council-appointed member shall be filled by the appropriate appointment councilmember within thirty days after such vacancy occurs, subject to a confirmation vote by a majority of all members of the town council. If confirmation of the new appointment is not achieved within thirty days of the vacancy, any councilmember or the council as a whole may entertain other nominations for the position.
C. In the event a councilmember vacates a seat prior to the end of a term of office, his or her appointment to the economic development commission is deemed terminated thirty days after the filling of the vacated council seat. The newly seated councilmember filling out the term of office of the vacated seat will make an appointment to the commission within thirty days of being seated.
D. The term of an EDC council-appointed commissioner is four years beginning March 1st of the appointment year unless the seat is vacated during that four-year term. In that event, the term of the new appointment is the unfilled portion of the original four-year term. At the end of a term of office, a commissioner may be reappointed to another term, again subject to a confirmation vote. A commissioner vacates a commission seat on the last day of February four years from appointment. Any commissioner is subject to removal from office by a majority vote of the entire membership of the town council.
E. The remaining two seats shall be held by Loomis Basin Chamber of Commerce representatives. These appointments shall be made by the chamber under the terms and provisions set forth by chamber bylaws and/or policies. These two seats shall have the same voting power as the council-appointed representatives.
F. The five members of the EDC appointed by the town council shall be residents or business people in the town who represent a diversity of interest within the town and are not officials or employees of the town.

§ 2.40.050. Membership—Nonvoting.¶
The town manager will be a nonvoting member of the commission, with the deputy town manager as an alternate. One member of the town council will be appointed as a nonvoting member, with one other councilmember designated as an alternate nonvoting member. The council appointment will be made by nomination of the mayor with confirmation by a majority vote of the town council.

§ 2.40.060. Funding and compensation.¶
Members of the EDC shall serve without compensation. Necessary expenses incurred by them may be paid by the town, provided that the approval of such expenses is obtained from the town council prior to the time such expenses are incurred. Upon approval by the town council, funding for the commission may be provided by individuals, organizations or government programs.
